TERMS OF SALE
GENERAL PROVISIONS
These Terms of Sale govern the relationship between OÜ Koosolekulabor (registration no. 17150784, address Tartu Parish, Estonia; hereinafter Koosolekulabor) and the client in connection with the purchase and use of all services.
By placing an order or signing an agreement, the client confirms that they have read, understood, and agree to these Terms in full.
Koosolekulabor reserves the right to amend these Terms. Clients will be notified of any changes by email at least 14 days in advance. Continued use of the service after an amendment takes effect constitutes acceptance of the updated Terms.
SERVICES AND PRICING
Koosolekulabor provides AI training, workshops, and consulting services to organisations. The exact scope, description, and pricing of services are specified in the relevant quote or agreement.
All prices are quoted in euros (€) excluding VAT unless stated otherwise. VAT at the applicable rate (20%) will be added to VAT-liable transactions.
- Quotes are valid for 30 calendar days from the date of issue.
- Koosolekulabor may update its published pricing without prior notice; however, prices agreed in an existing contract remain fixed.
- Additional work is invoiced separately and must be agreed in writing before it is carried out.
ORDERING AND AGREEMENT
An agreement is considered concluded when both parties have signed a written (including digital) contract, or when the client has paid the deposit in accordance with the quote.
Orders may be submitted via email, the website contact form, or any other written channel. Koosolekulabor will confirm receipt of the order within 2 business days.
The person placing an order on behalf of an organisation confirms that they have the authority to enter into contractual obligations on behalf of that organisation.
PAYMENT
Invoices are settled by bank transfer to OÜ Koosolekulabor's account. The payment term is 14 calendar days from the invoice date, unless otherwise agreed in the contract.
- Deposit: typically 50% of the contract value, due before the service begins.
- Final payment: the remaining balance, due within 14 days of service completion.
- Payment method: bank transfer to an Estonian euro account.
Overdue invoices accrue late-payment interest of 0.1% per day from the due date. In the case of prolonged non-payment, Koosolekulabor reserves the right to suspend service delivery.
SERVICE DELIVERY
Koosolekulabor delivers services in the scope, schedule, and format (on-site / online / hybrid) set out in the agreement. A detailed schedule is agreed upon after the contract is signed.
- The client is responsible for ensuring participant attendance and providing the necessary resources (venue, equipment, internet access).
- For online services, the client is responsible for the reliability of their own technical setup.
- Training materials (slides, workbooks) are delivered digitally to the client before the session.
Koosolekulabor may engage subcontractors to deliver services, informing the client in advance. The use of subcontractors does not alter Koosolekulabor's obligations to the client.
Online courses and challenges take place on the platform school.reimorehkli.com. An e-shop is also available on the same platform. These Terms of Sale apply in full to all purchases and enrolments made there, as the platform is operated by OÜ Koosolekulabor.
CANCELLATION AND REFUNDS
Cancellation terms depend on how far in advance notice is given:
- More than 21 days' notice: deposit refunded in full.
- 8–21 days' notice: 50% of the deposit refunded.
- 0–7 days' notice: deposit is non-refundable.
Cancellation notices must be submitted in writing by email. The cancellation date is the date on which the email is sent.
Both parties are released from their obligations in the event of force majeure circumstances. Koosolekulabor will notify the client without delay and offer a rescheduled date for the service.
INTELLECTUAL PROPERTY
All materials created and used by Koosolekulabor during the service (slides, workbooks, methodologies, tools) remain the property of Koosolekulabor. Clients are granted the right to use these materials for internal training purposes as part of the paid service.
- Public sharing, resale, or re-teaching of materials to third parties is prohibited without Koosolekulabor's prior written consent.
- Materials created by the client during training remain the property of the client.
Koosolekulabor may reference the client as a past client (name, industry, number of participants) without disclosing confidential details, unless the client objects.
LIMITATION OF LIABILITY
Koosolekulabor's liability is limited to the value of the contract. Koosolekulabor is not liable for indirect damages, loss of revenue, or business interruption arising from the use or non-use of the service.
Koosolekulabor does not guarantee specific business outcomes or productivity improvements — the impact of training depends significantly on the client organisation's readiness and participant engagement.
PERSONAL DATA
Koosolekulabor processes personal data of clients and participants in accordance with the General Data Protection Regulation (GDPR) and Koosolekulabor's Privacy Policy.
- Participant contact details are used solely for service delivery and feedback collection.
- Data is not transferred to third parties without explicit consent.
- Clients have the right to erasure, rectification, and portability of their data under GDPR.

DISPUTE RESOLUTION
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from the interpretation of these Terms shall first be resolved through negotiation.
If the parties cannot reach an agreement within 30 days, the dispute shall be resolved by a court in accordance with Estonian law.
